What Makes an NDA Enforceable Under Singapore Contract Law
An NDA is an ordinary contract, so the starting point is Singapore contract law: offer, acceptance, consideration, an intention to create legal relations and capacity. Beyond formation, five things decide whether it does any work.
A definition of confidential information that is specific enough to enforce. Describe categories: customer lists, pricing models, source code, formulations, business plans. Carve out the standard exceptions: information already public, information the recipient already had, information independently developed, and information required to be disclosed by law or a regulator. Those carve-outs strengthen the clause rather than weakening it, because they make the remainder defensible.
A legitimate interest being protected. Confidentiality protects trade secrets and genuinely confidential commercial information. It does not protect an employee's general skill and knowledge acquired in the course of working, and an NDA drafted to capture that will not be read as doing so.
A duration proportionate to the information. Perpetual obligations may be appropriate for a genuine trade secret and are hard to justify for commercial information with a natural shelf life. Two to five years is common for ordinary commercial information. Set the term to the sensitivity, not to the maximum you can type. A pricing model that will be obsolete within two years does not need a twenty-year obligation attached to it, and asking for one mainly signals that nobody thought about the question.
A permitted purpose, stated. The recipient may use the information for the evaluation of the proposed transaction and for nothing else. Without a purpose clause, an NDA restricts disclosure but says surprisingly little about use.
This gap is worth dwelling on, because it is where NDAs most often disappoint the person relying on one. The harm people actually fear is rarely publication. It is the recipient quietly using what they learned: building the same product, approaching the same customers, pricing against your model. A confidentiality obligation drafted purely around disclosure does not clearly prohibit any of that, since nothing was disclosed to anyone. A permitted purpose clause closes it, and it costs a sentence.
Remedies and mechanics that work. Return or destruction of materials on request, an acknowledgment that damages may be inadequate and that injunctive relief may be sought, survival of the obligation after the discussions end, and Singapore law and jurisdiction. Note that a clause purporting to exclude liability for death or personal injury caused by negligence is ineffective, and where an NDA limits liability more broadly, the Unfair Contract Terms Act 1977, which applies in Singapore through the Application of English Law Act 1993, may subject that limitation to a reasonableness requirement.
Two further points sit outside the contract and apply anyway. Where the confidential information includes personal data, obligations under the Personal Data Protection Act 2012 attach to its handling independently of the NDA.
