Minutes of a directors' meeting resolving to apply for the voluntary strike-off and dissolution of a company in England & Wales under section 1003 of the Companies Act 2006 (Form DS01).

Take advice first if in doubt. - The application (Form DS01) must be signed by a majority of directors and a copy sent to members, creditors, employees and other notifiable parties within 7 days. - Companies must keep minutes of directors' meetings for at least 10 years (Companies Act 2006, s 248).

1. Notice and quorum. The Chair confirmed notice had been given and a quorum was present.

2. Background. The directors noted that the company has ceased trading and that it is appropriate to apply to the Registrar of Companies to strike the company off the register and dissolve it. The directors confirmed that the company has not, in the previous three months, traded, changed its name, or made a disposal for value (other than as necessary to wind up its affairs), and is not subject to any insolvency procedure.

3. Resolutions.
