THIS REFERRAL FEE AGREEMENT is made on [DATE]
BETWEEN (1) [REFERRER NAME] of [ADDRESS] (the "Referrer"); and (2) [SELLER NAME] of [ADDRESS] (the "Seller").
Agreed terms
1. Referrals. The Referrer may, on a non-exclusive basis, introduce to the Seller potential customers interested in the Seller's [products/services] ("Referrals"). The Referrer is under no obligation to make any minimum number of Referrals.
2. Referral fee. Where a Referral results in a [completed sale / signed contract] within [NUMBER] months of the introduction, the Seller will pay the Referrer a referral fee of [£AMOUNT / PERCENTAGE]% of [the net price / fees received], payable within [NUMBER] days of [the Seller's receipt of payment from the customer].
3. Qualifying referrals. A Referral qualifies only if the customer was not already in the Seller's pipeline and the Referrer notified the Seller of the introduction in writing [via [METHOD]].
4. Records and reporting. The Seller will keep accurate records of Referrals and resulting sales and provide a statement on [monthly/quarterly] request.
5. No authority / independent parties. The parties are independent contractors. The Referrer has no authority to bind the Seller, make representations on its behalf, negotiate terms, or hold itself out as the Seller's agent.
6. The Referrer's conduct. The Referrer will act honestly, make no misleading statements about the Seller's [products/services], and comply with all applicable laws (including consumer protection and data protection).
7. Data protection. Each party will comply with the UK GDPR and Data Protection Act 2018 when sharing or processing Referral data, including ensuring a lawful basis and transparency to the individuals concerned.
8. Confidentiality. Each party will keep the other's non-public information confidential and use it only to perform this Agreement.
9. Term and termination. This Agreement begins on the date above and continues until terminated by either party on [NUMBER] days' written notice. Fees on qualifying Referrals made before termination remain payable.
10. Liability. The Seller is solely responsible for its [products/services] and its contract with the customer.
11. Governing law and jurisdiction. This Agreement is governed by the law of England and Wales, whose courts have jurisdiction.
